Terms of Service

Please read these terms carefully before using MarginAI.

1. Acceptance of Terms

  • By accessing or using MarginAI ("Service"), you agree to be bound by these Terms of Service ("Terms").
  • If you are using the Service on behalf of a business, you represent that you have authority to bind that entity to these Terms.
  • If you do not agree to these Terms, you may not use the Service.

2. Description of Service

  • MarginAI provides AI-powered margin analysis, pricing optimization, and inventory management tools for e-commerce merchants.
  • The Service connects to your Shopify store via OAuth to analyze product, order, and inventory data.
  • AI agents generate recommendations and can execute actions on your behalf based on your configured autonomy level.

3. Account Registration

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the security of your account credentials.
  • You must notify us immediately of any unauthorized access to your account.
  • One person or entity may not maintain more than one free account.

4. Acceptable Use

  • You may use the Service only for lawful purposes and in accordance with these Terms.
  • You may not use the Service to process data from stores you do not own or have authorization to manage.
  • You may not reverse engineer, decompile, or attempt to extract the source code of the Service.
  • You may not use automated tools to scrape, crawl, or extract data from the Service beyond approved API usage.
  • You may not resell access to the Service without written permission.

5. Shopify Store Connection

  • By connecting your Shopify store, you authorize MarginAI to access store data via Shopify's OAuth API with read-only permissions.
  • You represent that you have the authority to grant this access.
  • You can revoke access at any time from Dashboard > Settings > Integrations or from your Shopify admin.
  • MarginAI is not responsible for changes to Shopify's API that may affect Service functionality.

6. AI Actions & Autonomy

  • MarginAI AI agents can recommend and execute pricing, inventory, and operational actions based on your autonomy settings.
  • You are solely responsible for configuring your autonomy level and reviewing actions before they are executed.
  • All executed actions are logged and can be undone. However, some actions may have downstream effects that cannot be fully reversed.
  • MarginAI provides recommendations based on data analysis but does not guarantee specific financial outcomes.

7. Subscription & Billing

  • Free tier: Limited to 1 store and 25 analyzed products. No credit card required.
  • Paid plans: Billed monthly or annually. Prices are listed on our pricing page and may change with 30 days notice.
  • Cancellation: You may cancel your subscription at any time. Access continues until the end of the current billing period.
  • Refunds: We offer a 14-day money-back guarantee on first-time paid subscriptions.

8. Data Ownership

  • You retain full ownership of your store data. MarginAI does not claim any ownership rights over your data.
  • You grant MarginAI a limited license to process your data solely to provide the Service.
  • Aggregated, anonymized data may be used to improve our algorithms. No individual store data is ever shared.

9. Service Availability

  • We target 99.9% uptime but do not guarantee uninterrupted access.
  • Scheduled maintenance windows will be communicated at least 24 hours in advance.
  • We are not liable for service interruptions caused by third parties (Shopify, cloud providers, etc.).

10. Limitation of Liability

  • MarginAI is provided "as is" without warranties of any kind, express or implied.
  • We are not liable for any indirect, incidental, or consequential damages arising from your use of the Service.
  • Our total liability is limited to the amount you paid for the Service in the 12 months preceding the claim.
  • We are not responsible for lost revenue, lost profits, or business interruptions resulting from AI recommendations.

11. Termination

  • We may suspend or terminate your account for violations of these Terms with reasonable notice.
  • Upon termination, your right to use the Service ceases immediately.
  • Data deletion follows our Privacy Policy. You may request data export before termination.

12. Changes to Terms

  • We may modify these Terms at any time. Material changes will be communicated via email at least 30 days in advance.
  • Continued use of the Service after changes constitutes acceptance of the updated Terms.
  • If you disagree with changes, you may cancel your account before they take effect.

13. Governing Law

  • These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
  • Any disputes will be resolved through binding arbitration in San Francisco, CA.
  • You waive any right to participate in class action lawsuits against MarginAI.
